These Terms of Use (“Terms”) govern your access to and use of the Zilius website at www.zilius.ai and any page that links to these Terms (the “Website”). The Website is operated by Zilius, Inc., a Delware Corporation (“Zilius,” “we,” “us,” or “our”).

By using the Website, you agree to these Terms. If you do not agree, please do not use the Website. If you use the Website on behalf of an organization, you confirm that you are authorized to accept these Terms for that organization.

1. Summary

In short: the Website gives general information about Zilius for healthcare organizations. It is not medical advice and is not for emergencies. Please do not send patient information through the Website. Our software services are provided under separate agreements, not these Terms. The rest of this document explains these points in more detail, and the full text controls.

2. What These Terms Cover

These Terms apply only to the Website. The Website provides general information about Zilius and its software for hospitals, health systems and other healthcare organizations, and lets you contact us to request a meeting.

Access to and use of the Zilius software, alerts, analytics and related services (the “Zilius Platform”) is governed by a separate written agreement between Zilius and the customer organization and, where applicable, a Business Associate Agreement. If anything in these Terms conflicts with that agreement, that agreement controls for the Zilius Platform.

3. Not Medical Advice; Not for Emergencies

The Website is intended for healthcare organizations and professionals and is for general information only. Nothing on the Website is medical advice, a diagnosis or a substitute for the professional judgment of a qualified healthcare provider.

The Website is not monitored for emergencies. If you or someone else is experiencing a medical emergency, call 911 or your local emergency number.

4. Who May Use the Website

You must be at least 18 years old to use the Website. The Website is intended for business and professional users in the United States and Canada.

5. Please Do Not Send Patient Information

Do not submit protected health information or any other information about a patient’s health through the Website, including through the contact form. The Website is not designed to receive this kind of information. If you are a patient with a question about your care or your health information, please contact your healthcare provider directly.

6. Acceptable Use

When using the Website, you agree not to:

break any applicable law or regulation;
try to gain unauthorized access to the Website or any related systems or networks;
introduce viruses, malware or other harmful code, or interfere with the Website’s operation or security;
use bots, scrapers or other automated tools to collect content or data from the Website without our written permission;
submit false or misleading information, or impersonate any person or organization; or
use the Website to send spam or other unsolicited promotional messages.

7. Our Content and Trademarks

The Website and its content, including text, graphics, images, logos and design, are owned by Zilius or its licensors and are protected by intellectual property laws. “Zilius” and the Zilius logo are trademarks of Zilius.

You may view, download and print pages from the Website for your own internal business use, as long as you keep any copyright and trademark notices. You may not otherwise copy, modify, distribute, sell or create works based on the Website or its content without our prior written permission.

8. Information and Statistics on the Website

We try to keep the Website accurate and current, but its content may be incomplete or out of date and may change without notice. Industry statistics come from third-party sources and relate to the period they describe.

Descriptions of Zilius results, timelines and benefits (for example, implementation times or alert speeds) are general descriptions. Actual results depend on each organization’s data, systems, integrations and processes and are not guaranteed. Specific commitments are made only in a signed customer agreement.

9. Other Organizations and Third-Party Links

The Website may display the names or logos of organizations we work with and may link to third-party websites, including social media. Unless we expressly say otherwise, these references do not mean that an organization endorses Zilius or that we endorse it. We are not responsible for third-party websites, their content or their privacy practices.

10. Feedback and Information You Send Us

If you send us ideas or suggestions about Zilius or the Website, we may use them without restriction or payment to you. Please do not send us confidential information through the Website unless we have agreed in writing, for example under a non-disclosure agreement, to treat it as confidential.

11. Privacy

Our Privacy Policy explains how we collect and use personal information through the Website.

12. Disclaimer

The Website and its content are provided “as is” and “as available.” To the fullest extent permitted by law, Zilius disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the Website will be uninterrupted, error-free or free of harmful components.

13. Limitation of Liability

To the fullest extent permitted by law, Zilius and its officers, directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue or data, arising from or related to your use of, or inability to use, the Website. Our total liability for any claim relating to the Website will not exceed [US $100].

Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you. This section applies to the Website only. Liability relating to the Zilius Platform is governed by the applicable customer agreement.

14. Indemnity

You agree to defend, indemnify and hold harmless Zilius and its officers, directors, employees and agents from any claims, losses and expenses (including reasonable legal fees) arising from your misuse of the Website or your breach of these Terms.

15. Changes to the Website and These Terms

We may change, suspend or discontinue any part of the Website at any time. We may also update these Terms. When we do, we will post the updated Terms on the Website and change the “Last Updated” date above. Updated Terms take effect when posted, and your continued use of the Website means you accept them.

16. Suspension of Access

We may suspend or restrict your access to the Website if you breach these Terms or if we need to do so to protect the Website, Zilius or others. Sections 7, 10 and 12 to 18 continue to apply after your use of the Website ends.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Michigan without regard to its conflict-of-law rules. If a dispute arises, you and Zilius agree to first try to resolve it informally by contacting the other in writing and allowing 30 days for a response. If the dispute is not resolved, it will be decided exclusively by the state or federal courts located in Michigan and you and Zilius consent to the jurisdiction of those courts.

18. General

Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and Zilius about the Website. They do not replace any separate agreement covering the Zilius Platform.
Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
Assignment. You may not transfer your rights under these Terms. We may transfer ours, for example as part of a merger or sale of our business.
